A Court of Appeals ruling on December 23, 2024, has reinstated the requirement for most reporting companies to file their BOI reports with FinCEN.
The Department of the Treasury has extended certain deadlines to assist reporting companies in meeting these requirements. Below are the revised filing deadlines:
- For entities created or registered before January 1, 2024: The new deadline is January 13, 2025.
- For entities created or registered between September 4, 2024, and December 23, 2024: The deadline is January 13, 2025, or an additional 21 days from their original deadline, depending on their registration date.
- For entities created or registered after January 1, 2025: These companies must file their BOI reports within 30 days of receiving notice that their creation or registration is effective.
- For entities qualifying for disaster relief: These companies must adhere to whichever extended deadline is later.
Please note that specific exemptions apply, such as for plaintiffs in the case of National Small Business United v. Yellen.
